310-243-3420 CONSTITUTION AND BYLAWS

ARTICLE I
NAME

A. The name of this organization shall be California State University-Dominguez Hills Africana Studies Alumni Affinity Group (CSDUH-ASAA).
B. CSUDH Alumni Association, Inc. shall have the final authority in regards to its formation, dissolution and oversight of its Bylaws.

ARTICLE II
MISSION STATEMENT

Aware that graduation is only the beginning of professional development, the Africana Studies Alumni Affinity Group is dedicated to the continued success of its graduates. The Association shall serve as the forum of interaction between the graduates and the Africana Studies Department. A network of alumni will be created to facilitate the pursuit of individual professional success and in turn benefit the community as a whole.

ARTICLE III
OBJECTIVES

A. Provide the critical link between alumni, graduating students, and the African Studies Department.
B. Provide networking capabilities to members in their quest for better job opportunities.
C. Provide members with updated information on current and planned school activities and encourage their continued involvement.
D. Provide cannels for internship programs, resource speakers, seminars, and job workshops.

ARTICLE IV
MEMBERSHIP and DUES

A. Eligible members include:

  1. Alumni of the CSUDH Africana Studies including Baccalaureate and;
  2. Current students who have filed an “intent to graduate” with the Africana Studies;
  3. Current or former member of the Faculty of Africana Studies.

B. The period of membership shall be on a fiscal year basis from July 1st to June 30th.
C. ASAA Executive Board shall determine annual membership dues.
D. Annual dues must be satisfied in order to maintain one’s membership in good standing.

ARTICLE V
EXECUTIVE BOARD and OFFICERS

A. Executive Board

The Executive Board shall be the governing body of CSUDH-ASAA. It shall consist of the President, Vice-President, Treasurer, Secretary, and other ASAA members it deems necessary.

B. Officers

1. President
The President shall:
a. Preside at all meetings, preserve order, and enforce the Constitution and Bylaws;
b. Provide the vision, planning and direction of the Association;
c. Represent the Association at campus and committee meeting, and social events including those called by the CSUDH Alumni Association;
d. Counsel and advise the Vice President with respect to the affairs of the Association;
e. Render a written annual State of the Association report to the Executive Board no less than (30) thirty-days prior to vacating the office of the Presidency for any reason.

2. Vice President
The Vice President shall:
a. Know and learn the duties and responsibilities of the Office of the President as well as those of the Association in general;
b. Perform those duties and responsibilities assigned by the President and/or the Executive Board;
c. Attend all executive board meetings;
d. Attend all events sponsored by the Association
e. Assist the President in performing official duties and take his place in his absence.

3. Secretary
The Secretary shall:
a. Be custodian of Association records, minutes of meetings, and related files;
b. Coordinate and secure venues of meetings;
c. Prepare and distribute minutes of meetings of the Executive Board;
d. Prepare and distribute notices of meetings and other correspondence of the Association;
e. Maintain an updated list of Association membership.

4. Treasurer
The Treasurer shall:
a. Collect and account for all money received on behalf of CSUDH-ASAA;
b. Disburse and account for all payments of Association expenses;
c. Prepare quarterly reports on all Association accounts receivable ad payable for submission to the Alumni Association meetings;
d. If the Treasurer in unable to attend a meeting, the report shall be provided in advance to the Secretary who will furnish that report on his/her stead.
e. Prepare an alumni review of CSUDH-ASAA funding to be submitted to the CSUDH Alumni Association, Inc.

C. The officers shall be nominated and elected from and by the voting members of the Association. A voting member is any member of good standing. To be in good standing, all dues and other obligations must be current

D. The Officers will be elected for and serve and one-year term beginning July 1st and ending June 30th. Elections will take place in March every year.

E. Robert’s Rules of Order Newly Revised shall govern the conduct of all meetings and proceedings of the Association.

ARTICLE VI
DISSOLUTION

Should this organization ever dissolve, any remaining assets held in its name shall inure to CSUDH African Studies within (60) sixty-days of its dissolution.

ARTICLE VII
AMENDMENTS

The Executive Board, by affirmative vote of at least two-thirds of the quorum, may amend these bylaws subject to the approval o the Association. Every act or decision made by a majority of the members of the Executive Board present will be binding on he Association in less a greater number is required by law or the bylaws.

ARTICLE VIII
QUORUM

Three of the members of the Executive Board present shall constitute a quorum for the transaction of an and all business of the Association Every act or decision made by a majority of the members of the executive Board present will be binding on the Association unless a greater number is required by law or the bylaws.

ARTICLE IX
PROXY VOTE

A proxy vote may be permitted in the event that a member could not attend an Executive Board meeting. However, excessive proxy submission, as opposed to actual attendance, may result in dismissal from the Board.

ARTICLE X
IMPEACHMENT

Impeachment of elected officers requires a two-thirds approval of the executive Board.

ARTICLE XI
NON-DISCRIMINATION

In complete with the policy of California State University, the African Studies Alumni Association does not discriminate on the basis of race, color, national origin, religion, sex, sexual orientation, handicap, age, or marital status. The ASAA non-discrimination policy cover the following activities i.e., membership selection, activities, policies and practices of the Association.
